Terms of Service

These Terms of Service ("Terms") govern your use of the Sagentic platform ("Service") operated by Sagentic LLC, a Wyoming limited liability company ("we", "us", "our"). By creating an account or deploying an agent, you ("Client", "you") agree to these Terms.

1. Service Description

Sagentic provides AI-powered business automation tools including customer chat agents, review management, appointment scheduling, missed call handling, SMS messaging, and related services for legitimate local businesses.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of the business you register. The business must be a lawful enterprise operating in compliance with all applicable federal, state, and local laws.

3. Acceptable Use

You agree to use Sagentic only for lawful business purposes. You will not use the Service to:

• Engage in or facilitate any illegal activity
• Send spam, unsolicited messages, or deceptive communications
• Impersonate another person or business
• Collect personal data in violation of privacy laws
• Generate, distribute, or facilitate access to harmful content
• Circumvent any technical limitations or security measures

4. SMS and Text Messaging Terms

Sagentic sends text messages to your customers on behalf of your business. By using the Service, you acknowledge and agree:

• Message types include: appointment reminders, booking confirmations, follow-up messages, missed call responses, and customer care replies
• Message frequency varies based on customer interactions with your business
• Message and data rates may apply to message recipients
• Carriers are not liable for delayed or undelivered messages

Customer consent: End users consent to receive text messages by:

• Calling your business phone number — the AI receptionist verbally informs the caller that a text message will be sent, states that message and data rates may apply, and asks for the customer's agreement before sending
• Initiating a text message conversation with your business number
• Submitting their phone number via your website contact or booking form with an unchecked SMS consent checkbox that includes message types, frequency, data rates notice, and opt-out instructions

After consent is given, an opt-in confirmation SMS is sent immediately: "Sagentic: You are now enrolled in SMS notifications for [Business Name]. Msg frequency varies. Msg & data rates may apply. Reply HELP for help, STOP to cancel."

Opt-out: Customers can reply STOP to any message to immediately unsubscribe. A confirmation message is sent and no further messages will be delivered unless the customer re-initiates contact and provides new consent.

Help: Customers can reply HELP to receive support information including contact email ([email protected]) and website URL.

Mobile information will not be sold, rented, or shared with third parties or affiliates for marketing or promotional purposes.

5. Subscription and Payment

Sagentic is a paid subscription service billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law or at our sole discretion.

• Prices are subject to change with 30 days notice
• Failed payments may result in service suspension
• You may cancel at any time; service continues through the end of the billing period

6. Your Data

You retain ownership of your business data. We process customer conversations, reviews, and business information solely to provide the Service. We do not sell your data to third parties.

• Conversation data is stored securely and retained for the duration of your subscription
• Upon account termination, data is deleted within 30 days unless required by law
• You are responsible for obtaining necessary consents from your customers for AI-assisted communications

7. Content Uploads

You may upload media content (photos and videos) through designated upload links. Uploaded content:

• Is stored temporarily and auto-deleted after 30 days
• Is scanned for content moderation purposes
• Is not cloud storage; Sagentic is not responsible for content retention beyond the stated period

8. AI Disclaimer

Sagentic uses artificial intelligence to generate responses on behalf of your business. While we strive for accuracy:

• AI-generated responses may occasionally contain errors
• You are responsible for reviewing and approving content posted publicly on your behalf (e.g., review replies)
• Sagentic is not liable for any damages arising from AI-generated communications

9. Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms, operate a prohibited business type, or engage in activity that poses risk to our platform or payment processing capabilities. Termination for prohibited activity is immediate and without refund.

10. Limitation of Liability

To the maximum extent permitted by law, Sagentic LLC's total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Sagentic LLC, its members, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your business operations.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved in the courts of Sheridan County, Wyoming.
